2 Articles of Incorporation

(name)
Article 1 This corporation shall be called Club Void of General Incorporated Association(一般社団法人 虚空会).

(Main office)
Article 2 This corporation shall have its main office in Kyoto City.

(Purpose)
Article 3 This corporation regards the idea of "emptiness" born from the philosophy and aesthetics of Buddhism and Zen as a common property of mankind, and conducts activities that contribute to the development of human culture. We believe that connections between people are essential for building a prosperous society, and we seek a rich heart and world peace by having mutual exchanges among those who seek such connections and participating in religious services such as Onzen.

(business)
Article 4 This corporation conducts the following businesses.

  1. (1) Support for the implementation of the Onzen memorial service.
  2. (2) Projects related to advancing the understanding of "void".
  3. (3) Enlightenment activities to disseminate the idea of "Koku".
  4. (4) “Interaction at the world level between members.
  5. (5) "Other business necessary to achieve the purpose of this corporation.

(public notice)
Article 5 Public notices of this corporation shall be given by electronic public notice.

(Member)
Article 6 There are five types of members of this corporation, and membership is obtained with the approval of the board of directors.

  1. (1) Special member (corporation)
    A corporation recommended by a director.
  2. (2) Special member (individual)
    Those who are recommended by the board of directors.
  3. (3) General member
    Priority is given to nominations from directors or special members. For those who wish to join from the general public, those who can understand the purpose and activities of this corporation.
  4. (4) Student member
    Students enrolled in various domestic and overseas educational institutions approved by the Board of Directors are eligible. Those who understand the purpose and activities of our company.
  5. (5) Supporting members
    Those who are recommended by the board of directors.

2 Special members and general members shall be employees as stipulated by the law concerning general incorporated associations and general incorporated foundations.

(Membership fee, etc.)
Article 7 Members must pay the following admission fee and annual membership fee by the date designated by the Association.

  1. (1) Special member (corporation): Admission fee is 20,000 yen Annual membership fee is 200,000 yen per unit.
  2. (2) Special members (individuals): Admission fee is 20,000 yen Annual membership fee is 100,000 yen per unit.
  3. (3) General member: Admission fee is 10,000 yen, and the annual membership fee is 20,000 yen per unit.
  4. (4) Student member: Admission fee is 2,000 yen, and the annual membership fee is 3,000 yen.
  5. (5) Supporting member: Exemption of Admission fee and Annual membership fee.

The admission fee and annual membership fee will not be refunded under any circumstances.

(Loss of Membership)
Article 8 Members lose their qualifications for the following reasons.

  1. (1) A member who has been expelled by the General Assembly at the suggestion of the Board of Directors;
  2. (2) When there is a request from the member himself/herself
  3. (3) In case of death

(general meeting)
Article 9 This corporation holds a general meeting once a year.

  1. (1) The general meeting shall be convened by the chairman and shall consist of special members and general members (hereinafter collectively referred to as "members").
  2. (2) An extraordinary general meeting must be held when requested by one-fifth or more of the constituent members.
  3. (3) Business plans and budgets, business reports and settlement of accounts, changes to the Bylaws, appointment or dismissal of officers, expulsion of members, and other important matters related to the activities of the Association must be approved by the General Assembly.
  4. (4) The General Assembly requires the attendance of one-third or more of all constituent members. However, submission of a power of attorney may be substituted for attendance.
  5. (5) Decisions at the General Assembly require the approval of a majority of the members present.
  6. (6) Other matters concerning the operation of the General Assembly shall be determined separately by the Board of Directors as necessary.

(Board of directors)
Article 10 The board of directors shall consist of directors and shall be held from time to time as necessary.
2 The secretary general shall be a director stipulated by the law concerning general incorporated associations and general incorporated foundations.

(board member)
Article 11 This corporation shall have the following officers.
Chairman: 1 person
Vice Chairman: 1 or more
Chairman: 1 person
Vice President: 1 person
Directors: 3 or more(including chairman, vice chairman, chairman, vice chairman, and secretary general)
Auditor: 1 person
Secretary General: 1 person

2 Two of the directors shall be the representative directors, one of whom shall be the chairman and the other one shall be the president.

(President and Vice President)
Article 12 The chairman represents this corporation and presides over the affairs of the association. The vice president assists the president.

(director)
Article 13 Directors assist the president. The term of office shall be until the conclusion of the last annual general meeting of business years ending within two years after the appointment, and reappointment shall not be precluded.

(Auditor)
Article 14 Auditors shall audit the affairs and accounting of the Board and report to the General Assembly. The term of office shall be two years and may be reappointed.

(executive director)
Article 15 The secretary general supervises the affairs of the secretariat.

(fiscal year)
Article 16 The business year of this corporation begins on April 1st and ends on March 31st of the following year.

(Prohibition of Borrowing and Lending)
Article 17 The corporation shall not borrow or lend as a corporation.

(Detailed regulations)
Article 18 Detailed regulations necessary for the execution of the business of this corporation shall be established by the board of directors.

(Changes to the Articles of Incorporation)
Article 19 Changes to the Articles of Incorporation of this corporation must be approved by the general meeting.

(first business year)
Article 20 The first business year of this corporation shall be from the date of establishment of this corporation to March 31, 2015.

(Officers at Establishment, etc.)
Article 21 The officers at the time of establishment of this corporation shall be as follows.
